Terms of Service
These Terms govern your use of the PrismCDM website and Evaluation Services (the Generate a Brief funnel, the Strategy Session intake, and the Contact form). Commercial use of the PrismCDM platform under a contractual relationship is governed by separately executed agreements, which supersede these Terms where they conflict.
1. Acceptance of these Terms
By accessing or using the PrismCDM website at prismcdm.com or any Evaluation Services associated with it, you agree to be bound by these Terms. If you do not agree, do not use the website.
These Terms apply to the website and to evaluation use of the platform that occurs through the website. Commercial use of the platform by an organization is governed by a Master Services Agreement, an Order Form, the applicable Data Processing Agreement, and the Business Associate Agreement where required, each of which is executed separately and, where it conflicts with these Terms, controls.
2. About PrismCDM
PrismCDM is the Trusted Operating System for Clinical Development. The website is the commercial front-end of the platform and is the canonical place to learn about the company, generate a Brief on a public protocol, request a Strategy Session, or contact us.
3. Acceptable use
You agree not to:
- Use the website in any manner that violates applicable law or that infringes any party's intellectual property, privacy, or other rights.
- Submit protocols or material you are not authorized to share with us.
- Attempt to probe, scan, or test the vulnerability of the platform without prior written authorization, or circumvent any technical measure that restricts access.
- Use any automated means (other than standard search engine indexing) to access the website at a volume that would impair other users.
- Reverse-engineer, decompile, or attempt to derive the source code of any portion of the platform that is not made openly available.
- Misrepresent your identity or affiliation when interacting with us.
4. Evaluation Services
The Generate a Brief funnel, Strategy Session intake, and Contact form are Evaluation Services. Use of these services does not create a commercial relationship between you and PrismCDM. A commercial relationship begins only upon execution of a written agreement between PrismCDM and the customer organization.
Briefs generated through the public funnel are derived from public sources, are representative in character, and are provided for evaluation purposes. They are not regulatory submissions, are not attestations, and are not warranties of any kind.
5. AI features
Certain PrismCDM functionality uses artificial intelligence to generate summaries, recommendations, structured metadata, and workflow assistance. AI-generated output is intended to support human review and does not replace professional clinical, statistical, medical, regulatory, or legal judgment.
Customers and users remain responsible for reviewing AI-generated outputs before relying upon them for regulated activities. PrismCDM does not use customer data to train shared models across customers; see the Privacy Notice at /trust/privacy.
6. Regulatory boundary
PrismCDM provides software to support regulated clinical development. Customers remain responsible for validating their regulated workflows, determining regulatory fitness for purpose, and complying with applicable laws and regulations administered by the FDA, EMA, MHRA, PMDA, HIPAA, and other authorities.
7. Public protocol information
Public protocol identifiers (for example, ClinicalTrials.gov NCT identifiers) and their underlying records remain subject to their original public source. PrismCDM does not claim ownership of publicly available protocol information. Trial Intelligence derived from public protocol records is PrismCDM's analysis of that public information; the underlying public record is unchanged by its inclusion in a Brief.
8. Intellectual property
All content on the website (including text, graphics, the PrismCDM mark, the wordmark, the brand colors, the illustrations, and any artifacts shown as “Representative Demonstrations”) is the property of PrismCDM Inc. or its licensors and is protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from the content without our prior written consent, except as expressly permitted by these Terms or by applicable law.
The following are trademarks of PrismCDM Inc.: PrismCDM™, PTII™, Trial Intelligence™, Source Fidelity™, Provenance™, Submission Readiness™, Inspection Evidence Package™, and the PrismCDM prism mark. All other trademarks are the property of their respective owners.
9. Your content
If you submit content through the website (for example, a protocol identifier, a question, a note in a funnel, or material shared during a Strategy Session under NDA), you represent that you have the right to do so and you grant PrismCDM a limited, non-exclusive license to use that content for the purposes for which you submitted it.
Material shared under NDA is governed by the executed NDA, not by these Terms.
10. Feedback
If you provide feedback, suggestions, or enhancement requests, PrismCDM may use those ideas without restriction and without compensation to you, provided such use does not disclose your Confidential Information. Feedback does not create any rights in PrismCDM's technology and does not constitute Confidential Information unless expressly marked as such and accepted in writing.
11. Confidentiality
PrismCDM treats confidential information submitted through commercial engagements according to executed confidentiality agreements. Information submitted through public Evaluation Services is treated as non-confidential unless covered by an executed NDA.
12. Privacy
Our handling of personal information is described in the Privacy Notice, which is incorporated by reference into these Terms.
13. Availability
PrismCDM does not guarantee uninterrupted availability of the public website or Evaluation Services. Platform service availability commitments are governed exclusively by the applicable Service Level Agreement executed with commercial customers.
14. Beta features
Features identified as “Beta”, “Preview”, or “Early Access” may be modified or withdrawn without notice and are provided without production service commitments. Use of Beta features is at the user's own risk.
15. Export controls
You may not use PrismCDM in violation of applicable export control or sanctions laws of the United States or any other jurisdiction with authority over you or your use.
16. Electronic communications
By using the website, you consent to receive electronic communications from PrismCDM relating to your use, including email, in-product notices, and similar communications, in lieu of paper communications, where permitted by applicable law.
17. Disclaimers
The website and the Evaluation Services are provided on an “AS IS” and “AS AVAILABLE” basis. PrismCDM disclaims, to the maximum extent permitted by applicable law, all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Briefs and other artifacts generated through Evaluation Services are not regulatory submissions, are not attestations, and are not warranties of compliance with any specific regulation.
18. Limitation of liability
To the maximum extent permitted by applicable law, PrismCDM and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, or data, arising out of or in connection with the website or the Evaluation Services, even if PrismCDM has been advised of the possibility of such damages.
PrismCDM's total liability for any claim arising out of or relating to the website or the Evaluation Services will not exceed one hundred United States dollars (USD 100). Commercial limitations of liability, where applicable, are governed by the executed Master Services Agreement.
19. Force majeure
PrismCDM is not liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including acts of God, natural disasters, internet or telecommunications outages, acts of government, public health emergencies, war, civil unrest, labor disputes, or failures of third-party service providers.
20. Indemnification
You will indemnify and hold harmless PrismCDM and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the website or the Evaluation Services in a manner that violates these Terms or applicable law.
21. Termination
We may suspend or terminate your access to the website at any time if we believe you have violated these Terms or applicable law. The provisions that by their nature should survive termination (including Intellectual Property, Feedback, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
22. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the website will be resolved exclusively in the state or federal courts located in Delaware. You and PrismCDM consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
23. Changes to these Terms
We may update these Terms from time to time. The version in force at any time is the version published at this URL. Material changes will be communicated through the platform or by email where reasonably possible. Your continued use of the website after a change becomes effective constitutes acceptance of the updated Terms.
24. Miscellaneous
These Terms, together with the Privacy Notice and any separately executed commercial agreement, constitute the entire agreement between you and PrismCDM with respect to the website. If any provision is held to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of our right to enforce it later.
